DEFINITION
13G is the streamlined alternative to 13D, available to qualifying passive investors: registered investment advisers, institutions, and individuals who own more than 5% but have no intent to influence control. Disclosure is briefer, and amendments are required less frequently than for 13D. Holders must convert to 13D within 10 days if their intent changes from passive to active.
WHY IT MATTERS FOR RETAIL INVESTORS
Most 13G filings are routine — Vanguard, BlackRock, Fidelity crossing 5% in some stock for index reasons. Pay attention when a known activist files 13G instead of 13D (signal of restraint) or when a 13G holder converts to 13D mid-stream — that conversion is itself a trigger event worth investigating.
