Regulation FD

DEFINITION

Adopted in 2000, Regulation FD (Fair Disclosure) prohibits public companies from selectively disclosing material non-public information to securities market professionals or shareholders. If material information is inadvertently shared with a subset of investors, the company must promptly disclose it broadly — usually via an 8-K filed under Item 7.01.

WHY IT MATTERS FOR RETAIL INVESTORS

Reg FD is why investor-day presentations, sell-side analyst calls, and broker conferences all get filed as 8-Ks: the company is creating a paper trail of broad disclosure. As a retail investor, you have the same access to the disclosed content as a hedge fund analyst. Reg FD violations still happen — usually quietly — and when caught they result in SEC enforcement actions worth following.
