Also known as: Well-Known Seasoned Issuer

DEFINITION

Well-Known Seasoned Issuer status is granted to companies with $700M+ public float (or $1B+ in registered debt issuance) that have filed timely SEC reports for at least 12 months. WKSIs get automatic effectiveness on Form S-3 shelf registrations and are exempt from many gun-jumping rules during offering periods, letting them go to market quickly.

WHY IT MATTERS FOR RETAIL INVESTORS

WKSI status itself is rarely actionable, but it explains why large issuers can announce and complete share offerings in days while smaller companies take months. If a company loses WKSI status (e.g., after a late filing), it becomes meaningfully harder for them to raise capital quickly — a quiet but real cost of governance slips.
